Terms Of Service Agreement
Important – Please read these terms carefully. By being an private independent driver/contractor providing/fulfilling the Service (as defined below), you agree that you have read, understood, accepted and agreed with the Terms of Service. You further agree to the representations made by yourself below. If you do not agree to or fall within the Terms of Service for the provision of the Service and wish to discontinue your participation, please do disrupt your services of being a freelance ad hoc driver/contractor at any point.
The Terms of Service stated herein (collectively, the “Terms of Service” or this “Agreement”) constitute a legal agreement between you and Express Valet Concierge Pte Ltd (Company No. 201708645M) (the “Company”). In order to provide/fulfil the Service you must agree to the Terms of Service that are set out below.
By accepting, providing or fulfilling the Service assigned to you by the Company, which is a intermediary/medium for the overall purpose of enabling personnels to seek personal drivers/valets to drive their vehicle to certain destinations, and will be matched with on demand third party freelance driver/contractors (collectively, the “Service”) like yourself, you hereby expressly acknowledge and agree to be bound by the Terms of Service, and any future amendments and additions to the Terms of Service as published from time to time at https://www.expressvalet.sg.
The Company reserves the right to modify, vary and change the Terms of Service or its policies relating to the provision of Service at any time as it deems fit. Such modifications, variations and or changes to the Terms of Service or its policies relating to the provision Service shall be effective upon the posting of an updated version at https://www.expressvalet.sg. There will be no notice or notification given for any changes or modifications to the Terms of Service.
You agree that it shall be your responsibility to review the Terms of Service regularly and also the Terms of Service applicable to any country where you provide the Service which may differ from the country where you registered with the Company (the “Alternate Country”) whereupon the continued provision of the Service after any such changes, whether or not reviewed by you, shall constitute your consent and acceptance to such changes. You further agree that provision of the Service in the Alternate Country shall be subject to the Terms of Service prevailing for the Alternate Country which can be found at https://www.expressvalet.sg.
Do note that the Company acts as an intermediary/medium and in no circumstance hires/employs personal drivers under its payroll, hence there is no employment contract, CPF contributions, employee benefits such as annual leave etc. The Company solely performs its duties as a middleman to link up third party freelance drivers/contractors to offer personal driver/valet/concierge services to the public. This Service does not comprise of nor is it intended to provide personal drivers/valets/concierges internally by the Company, or any act that can be construed in any way as a representation of being the employer/principal to you as a third party driver/contractor. As such, the Company is not responsible nor liable for the acts and/or omissions of any third party freelance driver/contractors assigned to the client, as you will be considered as an independent provider engaged for the sole purpose of fulfilling the Service of the Company. Henceforth, this indemnifies the Company to any and all liabilities not limited to the following:
- For any accident, injury or death to any person in the course of Service
- Any damage or loss or theft or any property of the client’s vehicle
- Any parking fines or any traffic offences caused by the allocated driver
- All risks such as losses or damages to the vehicle, any other unforeseen losses or damages, parking fines and losses of valuable items inside the vehicle once the Express Valet appointed driver has parked and exited the vehicle
- Any illegal possession in accordance to the State of Singapore laws that might result in a civil or criminal offence
- Any direct or indirect or consequential loss such as any loss of profit, loss of enjoyment, loss of revenue, loss of data, or loss of earnings, and, to the extent permitted by law, you shall not have any recourse against Express Valet Concierge Pte. Ltd., its directors, officers, employees, agents, Apple Inc and Google Inc in respect of the above. Any other third party drivers referred by you is subjected to this clause, whom may enjoy the benefit of, but must enforce the terms of this paragraph in accordance with the provisions of the Contracts (Rights of Third Parties) Act, Chapter 53B of Singapore.
Intellectual Property Ownership
The Company and its licensors, where applicable, shall own all right, title and interest, including all related intellectual property rights, and by extension, the Service and any suggestions, ideas, enhancement requests, feedback, recommendations or other information provided by you or any other party relating to the Service. The Terms of Service do not constitute a sale agreement and do not convey to you any rights of ownership in or related to the Service. This includes but is not limited to the Company’s name, the Company’s logo, the Service, any proprietary knowledge etc, and there is no right or license to be granted to use them.
Even as a freelance private independent driver/contractor, you shall maintain in confidence all information and data relating to the Company, its services, products, business affairs, marketing and promotion plans or other operations and its associated companies which are disclosed to you by or on behalf of the Company (whether orally or in writing and whether before, on or after the date of this Terms of Service) or which are otherwise directly or indirectly acquired by you from the Company, or any of its affiliated companies, or created in the course of this Terms of Service. You shall further ensure that such confidential information should only be used in order to perform the Service, and shall not without the Company’s prior written consent, disclose such information to any third-party nor use it for any other purpose.
This Terms of Service is not in any way an employment contract. Its an Agreement on the nature of the working relationship between you as an individual and the Company. Furthermore, it seeks to clarify the position of the Company and the role that you, as a private independent driver/contractor, will play in the Company’s operations. However, any breach in terms of intellectual property or confidentiality will have resulting legal consequences if there is a failure in compliance to the above mentioned terms.
